1. Introduction
1.1 Contract
By using AgroSocial's services, you agree to abide by all of these terms. Your use of our services is also subject to our Cookie Policy and Privacy Policy, which covers how we collect, use, share, and store your personal information.
By clicking "Join Now", "Sign Up" or other similar links, or by registering, accessing or using our services (described below), you agree to enter into a legally binding contract with AgroSocial (even if you are using our services on behalf of a company). If you do not agree to this agreement ("Agreement" or "Terms of Use"), do not access or otherwise use our services. You may terminate this agreement at any time by closing your account and ceasing to access or use our services.
1.2 Scope of application
This Agreement applies to AgroSocial.com, AgroSocial-branded applications, and other related sites, applications, communications, and other services offered under this Agreement ("Services"), including the collection of off-website data for those Services, such as our AgroSocial-specific advertisements and plug-ins.
Registered users on our Services are "Members", and unregistered users are "Visitors". These Terms apply to "Members" and "Visitors".
1.3 AgroSocial
You are entering into this Agreement with Agro Social SpA (also referred to as "we", "us" or "our"), and this entity will be responsible for the personal data that you provide to our Services, or that is collected or processed by or in connection with our Services.
1.4 Changes
We may make changes to this Agreement, our Privacy Policy and our Cookie Policy from time to time. If we make any material changes, we will notify you through our services or by other means, giving you the opportunity to review the changes before they become effective. The modifications will not be retroactive. If you do not agree with any changes, you can close your account. If you continue to use our services after the changes take effect, you will be deemed to have accepted the updated terms.
1.5 Available Languages
These Terms and Conditions are available in the following languages: Spanish and English. In the event of any conflict or discrepancy between the different language versions, the Spanish version shall prevail.
In the future, AgroSocial may offer these Terms and Conditions in other languages. However, in the event of any conflict or discrepancy, the English version shall prevail.
2. Obligations
2.1 Requirements to Use the Services
To use AgroSocial's services, you agree that:
1. You meet the "Minimum Age", that is, 18 years old; or the age required by applicable law for us to provide services to you without your parent's consent.
2. You will only have one account in AgroSocial, which must be in your real name.
3. You have not been restricted from using AgroSocial's services.
Creating an account with false information is a violation of our terms; This includes accounts registered on behalf of others or by minors under the age of 18.
2.2 Your Account
You are responsible for everything that happens to your account, unless you close your account or notify us of misuse. Accept:
1. Use a strong password and keep it confidential.
2. Do not transfer any part of your account (e.g. contacts).
3. Abide by applicable law, our do's and don'ts, and our community policies.
If the services have been purchased by a third party (such as your employer), that third party has the right to control access and receive reports on the use of the services, but has no rights to your personal account.
2.3 Payment
If you purchase subscription services ("Premium Services" or "Business Services") from AgroSocial, you agree to pay any applicable fees and taxes and comply with any specific additional terms tied to those services. Failure to pay may result in the termination of the paid services you receive. You also agree that:

Exchange Fees: Your purchase may be subject to exchange fees or price differences depending on your location.

Payment Method: We may store and continue to use your payment method (such as a credit card) for billing purposes, even after it expires.

Auto-Renewal: If you purchase a subscription, your payment method will be automatically charged at the beginning of each subscription period for the applicable fees and taxes for that period. To avoid future charges, cancel your subscription before your renewal date.

Subscription Duration and Cancellation: Subscriptions are for [monthly/yearly] periods and will automatically renew at the end of each period, unless the user cancels the subscription prior to the renewal date. Cancellation can be made through [detail how it is cancelled], and the user will maintain access to the service until the end of the period already paid. 2.4 Refund Policy
2.4.1 Refunds for Subscription Services

Free Trial: Some of our subscription services may offer a free trial period. If you cancel during the trial period, you won't be charged. After the free trial period ends, you'll be automatically charged based on your selected subscription plan. No refunds will be issued once the trial period has ended and the initial charge has been made.

Cancellations within the first 14 days: If you cancel your subscription within the first 14 days after purchase or renewal, you are entitled to a full refund. To request a refund, you must contact our support team via support@agrosocial.com and provide your account and subscription details. The refund will be processed within 14 days of receipt of the request.

Cancellations after 14 days: If you cancel your subscription after the first 14 days, you will not be refunded the unused period of the subscription. You will be able to continue using the services until the end of the already paid subscription period.
2.4.2 Refunds for One-Time Payment Services

One-Time Purchases: For one-time purchases (such as access to premium content or courses), you are entitled to a full refund if the request is made within the first 14 days from the date of purchase, as long as you have not accessed the purchased content. If you have already accessed the content, no refund will be issued.
2.4.3 Refund Procedure

Refund Request: To request a refund, you must submit a request to our support team via support@agrosocial.com within the established timeframe. It includes the reason for the request, along with any other relevant information, such as the order number and account details.

Refund Processing: Once we receive your refund request, we will review it and notify you of the refund approval or rejection. If approved, the refund will be processed via the original payment method within 14 business days.
2.4.4 Exceptions and Special Considerations

Billing Errors: If you believe that there has been a billing error, you must contact us within 30 days of the date the charge was made. We will investigate and, if appropriate, correct any errors and issue a refund.
2.4.5 Non-Refundable

Prepaid Services: No refunds will be issued for prepaid services or charges that have already been billed for the current billing cycle.

Gifts and Promotions: Services purchased as part of a promotion or gift offer are not eligible for refund.
2.4.6 Right of Withdrawal

Online Purchase Withdrawal: In compliance with the Consumer Law in Chile, users who contract services through electronic means have the right to withdraw from the contract within 10 days following the conclusion of the contract or from the receipt of the service. To exercise this right, the user must send a withdrawal request through support@agrosocial.com. If a payment has been made, the full amount paid will be refunded within 10 business days of receipt of the request.
2.4.7 Legal Guarantee

Defective or Non-Conforming Services: In the event that the service contracted through AgroSocial does not comply with what was promised or presents technical failures, whether the service has been generated by us or by a third-party provider, the user has the right to request a solution within 6 months after contracting.

The user can choose from the following options:

Free Repair: Correct the defect or failure in the digital service, when technically possible.

Substitution: Replace the digital service with an equivalent one that meets the specifications originally offered.

Money Back: If repair or replacement is not possible or adequate, the user may request a full refund of the amount paid.

Digital Services Generated by Third Parties: If the digital service was generated by a third party, AgroSocial will act as an intermediary to coordinate the repair, replacement, or reimbursement of the service, in accordance with the provider's policies. In all cases, AgroSocial is committed to providing support to the user during this process and to ensuring that the consumer's rights are respected.
2.4.8 Refunds for Billing Errors

Transaction Errors: In the event that a user is wrongly charged, they are entitled to a full refund of the undue amount. The user must report the error within 30 days of the improper charge in order for the refund to be processed in a timely manner.

Error Verification: AgroSocial reserves the right to investigate and verify any refund request for an erroneous charge before proceeding with the refund. This may include reviewing transaction records, payment vouchers, and any other relevant information. If it is confirmed that the collection was indeed erroneous, AgroSocial will proceed with the full refund of the undue amount via the original payment method within 14 business days of confirmation.
2.4.9 Refund Currency
All refunds will be processed in the same currency in which the original payment was made. If the payment was made in a currency other than the user's local currency, the refund amount will be subject to the exchange rates applicable at the time of the refund transaction, which may vary depending on the payment service provider. AgroSocial is not responsible for any exchange differences that may occur during this process.
2.5 Notices and Messages
You agree that AgroSocial may send you notices and messages through our websites and apps, or through the contact information you have provided to us. It is your responsibility to keep your contact information up to date.
2.6 Sharing
Our Services allow you to send messages and share information in many ways, such as in your profile, in articles, in group posts, through links to new articles, and in messages. When you share information on our Services, others may view, copy, and use that information. The information and content you share may be visible to Members, Visitors, and others (including outside of the service).
AgroSocial is not obligated to post any information or content on our Service and may remove it without notice.

3. Rights and Limitations
3.1 Your License to AgroSocial
You own the content and information you provide to AgroSocial. However, you grant AgroSocial a non-exclusive license to use, copy, modify, distribute, publish, and process the information and content you provide through our Services, without any additional consent, notification, or compensation to you or any third party. This license is limited in the following ways:
1. You may terminate this license for specific content by deleting such content from the Services or by closing your account, except to the extent that it has been shared with others as part of the Service and has been copied, re-shared, or stored by others; and for a reasonable amount of time to remove it from backups and other systems.
2. We will not include your content in advertisements for third-party products and services without your personal consent. However, we have the right, without indemnifying you or any third party, to post advertisements near your content and information and to mention your use of any functionality of the service with your name or photograph to promote that functionality.
3. While we may edit and make formatting changes to your content (such as translating or transcribing it, modifying the size, layout, or file type, or removing metadata), we will not change the meaning.
You agree to only provide content and information that does not infringe the law or the rights of any person (including intellectual property rights). You also agree to provide true information on your profile. AgroSocial may be required by law to remove certain information or content in certain countries.
3.2 Availability of Services
We may change, suspend, or withdraw any of our Services. We may also change our prices upon notice within a reasonable time and to the extent permitted by law.
We do not guarantee the continued storage or availability of any content or information you have provided. You agree that we have no obligation to store, retain, or provide you with a copy of any content or information provided to us by you or others, except to the extent required by law and as set forth in our Privacy Policy.
3.3 Third-Party Content
Your use of the content and information provided by others through our Services is at your own risk. AgroSocial is not responsible for the content or information provided by other users.
3.4 Limitations
We reserve the right to limit your use of the AgroSocial Services, including the number of contacts and your ability to connect with other members. We may also restrict, suspend, or terminate your account if we believe that you have violated this agreement, the law, or that you are misusing the Services.
3.5 Intellectual Property Rights
AgroSocial reserves all intellectual property rights in the Services. Trademarks and logos used in connection with the Services are the property of their respective owners.
3.6 Automated Processing
AgroSocial will use the data and information you provide to make relevant suggestions and to provide personalized functionalities. Maintaining an up-to-date profile with accurate data helps us make more relevant recommendations.
4. Limitation of Liability
To the extent permitted by law, AgroSocial shall not be liable for any loss of profits or business opportunities, reputation, loss of data or any indirect, incidental, consequential, special or punitive damages.
The above limitations of liability form part of the agreement between you and AgroSocial, and will apply to all liability claims (such as those arising from warranty, damage, negligence, contractual or statutory liabilities), even if AgroSocial has been advised of the possibility of such damage, and even if these remedies do not serve their primary purpose.
5. Termination
Either you or AgroSocial may terminate this contract at any time by notifying the other party. Upon termination, you will lose the right to access and use the AgroSocial Services. Certain rights and obligations will continue after termination:

Our right to use and disclose your feedback.

The rights of Members or Visitors to re-share content and information that you have shared through the Services;

Numbers 4, 6, 7 and 8.2 of this Agreement.
5. Termination
Either you or AgroSocial may terminate this contract at any time by notifying the other party. Upon termination, you will lose the right to access and use the AgroSocial Services. Certain rights and obligations will continue after termination:

Our right to use and disclose your feedback.

The rights of Members or Visitors to re-share content and information that you have shared through the Services;

Numbers 4, 6, 7 and 8.2 of this Agreement.

Any amounts due by either Party prior to termination will continue to be due after termination.
6. Governing Law and Dispute Resolution
This contract shall be governed by and construed in accordance with the laws of the Republic of Chile. In the event of any disputes arising on the occasion, reason or as a consequence of the use of AgroSocial, users agree to submit to the exclusive and non-extendable jurisdiction of the ordinary courts of the city of Santiago, Chile.
7. General Provisions
If any provision of this agreement is found to be unenforceable by a court of competent jurisdiction, you and we agree that the court may modify the terms so that that part may be enforceable, and if it is unable to do so, declare that the remaining provisions shall remain in full force and effect.
This agreement is the sole agreement between you and AgroSocial with respect to the Services and supersedes all prior agreements.
You may not assign or transfer this Agreement (or your account or use of the Services) to anyone without our consent. However, you agree that AgroSocial may assign this Agreement to a third party who purchases it without your consent. There are no other third-party beneficiaries of the Agreement.
You agree that the only way to send us legal notice will be at the address provided in Section 10.
8. Do's and Don'ts at AgroSocial
8.1 What to Do

Comply with all applicable laws, including, but not limited to, privacy laws, intellectual property laws, anti-spam laws, tax and tax laws, and other regulatory requirements.

Provide us with accurate information and keep it up to date.

Use your real name on the profile.
-
Use the Services in a professional manner.
8.2 What Not to Do

Create a false identity on AgroSocial, falsify your identity, create a Member profile for someone other than you (a natural person), or use or attempt to use another person's account.

Develop, support, or use programs, devices, scripts, robots, or any other means or processes (including crawlers, browser plug-ins and plug-ins, or any other technology) to plagiarize the Services or otherwise copy profiles or other data from the Services.

Circumvent any security features or circumvent any access controls or limits on use of the Service.
-
Copy, use, disclose, or distribute any information obtained from the Services, either directly or through third parties (such as search engines), without the consent of AgroSocial.

Disclose information that you do not have the right to share (such as confidential information of third parties, including your company).
-
Infringe the intellectual property rights of others, such as copyrights, patents, trademarks, trade secrets, or other proprietary rights.

Infringe the intellectual property or other rights of AgroSocial.
-
Post anything that contains computer viruses, worms, or any other harmful code.
-
Reverse engineer, decompile, disassemble, decipher, or otherwise attempt to obtain the source code of the Services or any related technology that is not open source.

Imply or state that you are associated or endorsed by AgroSocial without our express consent.

Rent, lend, trade, sell/resell or obtain any other type of benefit from the Services or related data, or access them without the consent of AgroSocial.

Establish links to our Services for any purpose other than to promote your profile or a group on our Services, without the consent of AgroSocial.

Use bots or other automated methods to access the Services, to add or download contacts, or to send or redirect messages.

Monitor the availability, performance, or operation of the Services for competitive purposes.

Engage in framing or mirroring practices, or otherwise simulate the appearance or function of the Services.
-
Overlay or otherwise modify the Services or their appearance.
-
Interfere with the operation or unreasonably load the Services.
-
Violate the Community Policies or any additional terms relating to a specific Service provided when you log in or begin using such Service.
8.3 Prohibition of Hate Speech and Discrimination
At AgroSocial, we are committed to maintaining a safe, inclusive, and respectful environment for all of our users. Therefore, the publication, distribution or promotion of any content that:

Incite Hate: Content that encourages, promotes, or justifies violence, hatred, or bigotry toward individuals or groups based on characteristics such as, but not limited to, their race, ethnicity, nationality, religion, sexual orientation, gender, gender identity, age, disability, health status, or any other characteristic protected by law.

Promotes Violence: Content that glorifies, promotes, or incites violence, whether physical or psychological, against individuals, groups, or property.
-
Discrimination: Content that discriminates, degrades, disparages, or segregates individuals or groups based on the same characteristics listed above.
Failure to comply with this policy may result in the immediate removal of the infringing content, suspension or termination of the account of the responsible user, and notification to the appropriate authorities when necessary. AgroSocial reserves the right to monitor, review, and act on any content that is deemed to be in violation of this clause.
9. Complaints Regarding Content
AgroSocial respects intellectual property rights and community standards. If you believe that any content posted by AgroSocial users infringes your intellectual property rights, violates our policies, or is inappropriate for any reason, you can file a complaint using the following procedure:
9.1 Types of Admitted Complaints
You can file a complaint if:

Infringement of Intellectual Property Rights: If you believe that your work protected by copyright, trademark, patent or other intellectual property right has been used without your consent on the platform.

Offensive or Inappropriate Content: If you find content that you find offensive, that promotes hate speech, violence, or discrimination, or that violates our community policies.

Violation of Usage Policies: If you identify that the posted content violates our terms of use or any other AgroSocial policy.
9.2 Procedure for Filing a Complaint

Submit Your Complaint: To file a complaint, you must email support@agrosocial.com with the following information:

Identification of the specific content (link or description of the content in question).

Detailed explanation of the reason for the complaint (e.g., copyright infringement, offensive content, etc.).

Proof that you own the rights to the content in the event of intellectual property infringement (such as copyright, trademark, or patent registrations).

Your contact details (full name, email address, phone number).

Evaluation of the Complaint: AgroSocial will evaluate all complaints received within 10 business days. In case additional information is required, we will contact you through the means provided.

Taking Action: Depending on the nature of the complaint and the results of our assessment, AgroSocial may:

Remove or block disputed content.

Notify the user who posted the content about the complaint and give them the opportunity to submit a clarification (explanation), if applicable.

Inform the appropriate authorities if the content involves illegal activities or a serious infringement.

Notification of Outcome: Once the evaluation process has been completed, we will notify you by email of the decision made regarding your complaint.
9.3 Clarifications
If you have received a notification that your content has been blocked or removed due to a complaint, and you believe that the complaint was filed in error or that you have the right to use the content, you can submit a clarification by sending an email to support@agrosocial.com. Includes:

A statement that you have the right to use the content or that the complaint was filed incorrectly.

Identification of the affected content.

Your contact details.
AgroSocial will review your clarification – explanation – and inform you of any updates on the status of the affected content.

1. Introduction
AgroSocial is a social network and online platform designed specifically for professionals in the agribusiness sector. Our Services allow users to find business opportunities, connect with other industry professionals, share and acquire knowledge, and access relevant information to improve their professional practices. This Privacy Policy applies to all users of AgroSocial, both registered users ("Members") and unregistered visitors ("Visitors"). Members are those users who have an active account, while Visitors are those who do not have a registered account but interact with our platform in some way, such as visiting our website or mobile applications.
